Service Terms

1. Introduction

These Service Terms ("Service Terms") govern the delivery of professional services by Brands Group LLC ("Company," "we," "us," or "our") to our clients ("Client," "you," or "your"). These Service Terms supplement our Terms of Service and apply to all service engagements.

When you accept a quote or sign a service agreement with us, you agree to these Service Terms along with the specific scope outlined in your custom quote.

2. Scope of Work

2.1 Custom Quotes

Each project begins with a custom quote that outlines:

  • Specific services to be provided
  • Deliverables and milestones
  • Timeline and key dates
  • Total investment and payment terms
  • Revision policy for that specific project
  • Client responsibilities and requirements

2.2 Scope Changes

The approved quote defines the project scope. Any changes, additions, or expansions require:

  • Written request from the client
  • Written quote for the additional work
  • Client approval before work begins
  • Potential timeline adjustments

Scope changes are billed separately and subject to these Service Terms.

3. Deliverables and Milestones

3.1 Milestone-Based Delivery

Projects are typically divided into milestones. For each milestone:

  • We deliver specified work products
  • You review and provide feedback
  • We incorporate feedback (within revision allowances)
  • You approve the milestone
  • We proceed to the next milestone

3.2 Deliverable Formats

Unless otherwise specified in your quote, deliverables are provided in industry-standard formats appropriate to the service type (e.g., live websites, PDF documents, editable design files, source code, etc.).

4. Revisions

4.1 Included Revisions

Most projects include 2 rounds of revisions per milestone, unless otherwise specified in your quote.

A "revision round" means you can request multiple changes, and we incorporate them all at once. Each subsequent response to your feedback counts as one revision round.

4.2 What Constitutes a Revision

Revisions include:

  • Adjustments to work within the agreed scope
  • Refinements based on your feedback
  • Corrections to errors or misunderstandings
  • Modifications to align with the approved direction

4.3 What Is Not Included in Revisions

Revisions do NOT include:

  • Changes to the approved scope or deliverables
  • Adding new features, pages, or functionality
  • Complete redesigns or direction changes after approval
  • Revisions due to changed business requirements

These types of changes are considered scope changes and require a separate quote.

4.4 Additional Revisions

If you require additional revisions beyond the included rounds, we will provide:

  • A quote for additional revision rounds (typically billed hourly)
  • Estimated time and cost
  • Option to approve or decline

5. Timelines and Deadlines

5.1 Project Timeline

Your quote includes an estimated project timeline based on:

  • Project scope and complexity
  • Assumption of timely client feedback
  • Availability of required materials from client
  • Current project queue

5.2 Timeline Dependencies

Timelines assume that you will:

  • Provide timely feedback at review milestones (typically within 5-7 business days)
  • Provide required materials, content, and access as needed
  • Respond to questions or requests for clarification promptly

Delays in client feedback or materials may extend the project timeline accordingly.

5.3 Timeline Changes

We will notify you if:

  • The project timeline needs adjustment due to scope changes
  • We are awaiting client input and cannot proceed
  • Unforeseen circumstances impact the timeline

6. Client Responsibilities

To ensure successful project completion, you agree to:

  • Provide Materials: Supply all necessary content, images, brand assets, access credentials, and information as outlined in the project scope
  • Timely Feedback: Review deliverables and provide feedback within agreed timeframes
  • Clear Communication: Communicate requirements, changes, and concerns clearly and promptly
  • Decision-Making Authority: Ensure that the person approving work has authority to do so
  • Legal Compliance: Ensure all provided materials comply with applicable laws and do not infringe on third-party rights
  • Payment: Make payments according to the agreed terms

7. Intellectual Property and Ownership

7.1 Client Ownership of Final Deliverables

Upon full payment of all fees, you receive ownership of the final custom deliverables created specifically for your project. This includes:

  • Custom website designs and development
  • Custom graphics and visual assets created for you
  • Written content created for your project
  • Final files and deliverables specified in your quote

7.2 Company Retention of Rights

We retain ownership of:

  • Pre-Existing Tools and Resources: Code libraries, frameworks, templates, methodologies, and processes we use across multiple projects
  • General Knowledge and Techniques: Skills, techniques, ideas, and know-how developed during the project
  • Third-Party Components: Open-source libraries, stock assets, fonts, and other third-party materials (subject to their respective licenses)

7.3 Third-Party Licenses

Some deliverables may incorporate third-party components licensed under their own terms (e.g., open-source software, stock photos, fonts). You are responsible for complying with those third-party licenses. We will inform you of any license requirements.

7.4 Client-Provided Materials

You retain ownership of all materials you provide to us (content, images, logos, brand assets, etc.). By providing these materials, you grant us a license to use them for the purpose of delivering your project.

8. Portfolio and Marketing Rights

8.1 Portfolio Use

We may showcase completed work in our portfolio, case studies, and marketing materials. This includes:

  • Screenshots and descriptions of your project
  • Mentioning your company name and industry
  • Describing the services we provided and outcomes achieved

8.2 Opt-Out

If you prefer that we NOT showcase your project:

  • Let us know at the start of the project or any time during the engagement
  • We will keep your project confidential and not use it in our portfolio
  • If your project is already in our portfolio, we will remove it upon request

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, including:

  • Business strategies and plans
  • Financial information
  • Customer data
  • Proprietary processes or methodologies
  • Unpublished work products

This obligation survives project completion and termination of the relationship.

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

10. Use of Subcontractors

We may engage qualified subcontractors or third-party specialists to assist with certain aspects of your project. When we do:

  • We remain responsible for the quality and delivery of all work
  • Subcontractors are bound by confidentiality obligations
  • We ensure subcontractors meet our quality standards
  • You will be notified if a subcontractor will be involved in critical project components

11. Testing and Acceptance

11.1 Your Testing Responsibility

You are responsible for thoroughly testing deliverables before approval:

  • Test functionality across browsers and devices (for websites)
  • Review all content for accuracy
  • Verify that deliverables meet the agreed requirements
  • Report any issues during the revision period

11.2 Acceptance

Deliverables are considered accepted when:

  • You provide written approval
  • You approve final payment after receiving final deliverables
  • 14 days pass without feedback after delivery (implied acceptance)

12. Warranty and Disclaimer

12.1 Limited Warranty

We warrant that:

  • Services will be performed with reasonable skill and care
  • Deliverables will substantially conform to the agreed specifications
  • We have the right to provide the services and grant the licenses described herein

This warranty is valid for 30 days after final delivery. We will fix any defects or errors reported during this period at no additional cost.

12.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED ABOVE, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • Deliverables will achieve specific business results or outcomes
  • Websites will be error-free or operate without interruption after launch
  • Third-party services or platforms will continue to function as expected

13. Maintenance and Support

13.1 Post-Launch Support

After project delivery, we provide:

  • Bug fixes for issues caused by our work (within 30 days of launch)
  • Answers to questions about deliverables or documentation
  • Brief technical guidance via email

13.2 Ongoing Maintenance

Ongoing maintenance, updates, content changes, or feature additions are not included in the original project scope. These services can be provided under:

  • Separate project quotes
  • Retainer agreements (if mutually agreed)
  • Time-and-materials billing

14. Termination

14.1 Termination by Client

You may terminate the engagement at any time by providing written notice. Refunds are handled according to our Refund & Cancellation Policy.

14.2 Termination by Company

We may terminate the engagement if:

  • You fail to make payments as agreed
  • You violate our Acceptable Use Policy
  • You materially breach these Service Terms
  • Continuing the engagement poses legal, ethical, or reputational risks

In such cases, we will provide written notice and refund any payments for work not yet performed.

14.3 Effect of Termination

Upon termination:

  • You receive completed deliverables for which payment has been made
  • Confidentiality obligations survive
  • Outstanding payments become due immediately

15. Changes to Service Terms

We may update these Service Terms from time to time. For active projects, the Service Terms in effect at the time of project agreement will govern that specific project.
